Terms of Service Belfor Tech Consultants

Effective: August 12, 2025

These Terms govern access to and use of the Belfor Tech Consultants platform (the “Platform”), including companion websites, mobile apps, and APIs. By registering for or using the Platform you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree, please discontinue use. Continued use after updates are published constitutes acceptance of the revised Terms.

1. Acceptance of Terms

By accessing, registering for, or using the Platform you agree to be legally bound by these Terms. Users who do not agree must refrain from using the Platform. Belfor Tech Consultants may update these Terms at any time by posting a revised version, and continued use after updates go live signifies acceptance.

2. Definitions

• Platform: The Belfor Tech Consultants HR, CRM, Payroll, and Task Management system, including all features, software, APIs, and services.
• User: Any individual, employee, employer, contractor, or organisation that accesses, registers for, or uses the Platform.
• Employer: Any organisation or business entity that uses the Platform to onboard, manage, and administer employees or contractors.

3. User Responsibilities

Users agree to:

• Provide complete, accurate, and current information when creating accounts or using the Platform.
• Maintain the confidentiality of login credentials and promptly report any unauthorised access.
• Use the Platform solely for lawful, authorised purposes aligned with these Terms and applicable law.
• Avoid bypassing or interfering with security, authentication, or access-control measures.
• Ensure uploaded or shared data (including employee information) complies with relevant data protection regulations and internal organisational policies.

4. License to Use

Belfor Tech Consultants grants Users a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform according to these Terms. The licence does not permit Users to:

• Copy, reproduce, modify, or create derivative works based on the Platform.
• Reverse engineer, decompile, or disassemble any component.
• Use the Platform to build or enhance competing products or services.
• Transfer, sublicense, or lease rights without prior written consent.

5. Payments & Subscriptions

• Certain features require paid subscriptions or service fees as outlined in the applicable plan or agreement.
• All fees are due in advance and are non-refundable unless expressly stated otherwise in writing.
• Failure to pay may lead to suspension, limitation, or termination of access to paid features.
• Belfor Tech Consultants may adjust pricing, fees, or billing methods with prior notice as required by law.
• Taxes, duties, and government charges remain the responsibility of the User unless specified differently.

6. Intellectual Property

All intellectual property rights in the Platform—including software, designs, trademarks, logos, graphics, documentation, and databases—belong to Belfor Tech Consultants or its licensors. Users must not:

• Copy, distribute, or publicly display Platform content without written consent.
• Use Belfor Tech Consultants trademarks, service marks, or logos without explicit permission.
• Remove or tamper with proprietary notices or labels.

7. Data Protection

Belfor Tech Consultants processes data in line with its Privacy Policy, which is incorporated into these Terms. Employers uploading employee or third-party data warrant that they have the necessary consent and that they comply with applicable data protection laws, including the Kenya Data Protection Act and GDPR where relevant. Users are responsible for safeguarding the confidentiality and integrity of data shared through the Platform.

8. Third-Party Integrations

The Platform integrates with select third-party tools (e.g., Google Workspace, Slack, QuickBooks). Belfor Tech Consultants Global Workspace:

• Does not guarantee uninterrupted availability or performance of third-party integrations.
• Is not responsible for the security, privacy, or accuracy of data handled by third parties.
• Encourages Users to review third-party terms and privacy policies before connecting accounts.

9. Limitation of Liability

To the fullest extent permitted by law, Belfor Tech Consultants is not liable for:

• Loss of profits, revenue, business opportunities, goodwill, or data.
• Damages arising from unauthorised access, cyberattacks, or third-party actions beyond its control.
• Service failures caused by third-party integrations or infrastructure.
• Indirect, incidental, special, exemplary, or consequential damages, even if advised of their possibility.

10. Termination

Belfor Tech Consultants may suspend or terminate access at its sole discretion, including when:

• Users breach these Terms or any applicable law.
• Unauthorised, fraudulent, or abusive activity is detected.
• Law enforcement or regulatory authorities request action.

Upon termination, all licences immediately cease. User data may be deleted or archived according to the Data Retention Policy.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of Kenya. Any dispute arising out of or related to the Terms shall be subject to the exclusive jurisdiction of Kenyan courts unless otherwise agreed in writing.
